How Capmatter works, task by task. Can’t find an answer? Write to support@capmatter.com.
Setting up your company
Create an account, then enter your company’s details: name, authorised capital and face value per share. These appear on the statutory registers.
Add your holders one by one (Ownership → Holders → Allot shares), or import your existing cap table from a spreadsheet (next section). Either way, every share you record becomes an entry in the share ledger.
Importing an existing cap table
Go to Ownership → Holders → Import and upload your spreadsheet. Capmatter suggests which column is which; check the mapping before you continue.
Rows are matched to holders already on the register by name, email and PAN. Where a match is unclear, the import stops and asks you to decide. Nothing is posted until you confirm.
Importing writes ordinary ledger entries, so the cap table, registers and reports update at once.
Recording allotments, transfers and corrections
Use Allot shares for new shares and Transfer shares for a sale or gift between holders. Each is one ledger entry with its date, class, quantity and price.
Posted entries are never edited. To correct a mistake, void the entry and give a reason: the original stays on the record, marked void, and is excluded from every balance. Then record the right entry.
The cap table, registers, charts and reports are always computed from the ledger, so they cannot disagree with each other.
Option plans, grants and exercises
Record your plan and its pool under Employee equity, then make grants with a vesting schedule (months and cliff). Vesting is calculated for every grant and shown as a chart.
Employees see their own grants in the employee portal, matched to their verified email. They can accept a grant there, plan an exercise (cost and estimated tax), and ask to exercise vested options.
When an exercise is approved, the shares are allotted on the ledger and the perquisite workings for payroll TDS are calculated from your latest valuation report.
Two-person approval
When two-person approval is switched on for your company, grants, corporate actions and other sensitive changes need a second person to approve them. The database refuses an approval from the person who submitted the request, and records both names and times.
Registers, reports and the audit export pack
Reports lists every register and report as a CSV: the register of members (MGT-1), allotments, transfers (SH-4), ESOPs (SH-6), certificates, the cap table, the ledger and more.
The audit export pack is one dated ZIP with all registers, the full ledger including voided entries, the approvals trail and the audit log. Its signed manifest lists the SHA-256 of every file, so an auditor can check nothing was changed.
Team, roles and sign-in
Invite colleagues under Workspace → Team & roles and give each a role. Each role carries permissions, such as managing holders, exporting reports or managing billing.
In Settings, an owner can have people signed out after a period without activity, and anyone can sign out of all their devices at once. Single sign-on (SAML) can be set up for your email domain on request.
Connecting payroll, HR or finance systems
Under Workspace → API & webhooks you can create read-only API keys for holders, grants, the ledger and the cap table, and add webhook addresses that receive an event when the ledger changes or a grant is made.
Keys and webhook secrets are shown once. Webhook requests are signed, so your system can check they came from Capmatter. PANs are never sent.
Your data and privacy
Workspace → Privacy & data lets you download your data, correct your details, nominate someone, raise a grievance, or ask for your account to be closed.
See the Data Retention Policy for how long each kind of data is kept, including the 90 days you have to export everything when a workspace is closed.
